Rick,

 As we discussed previously, I have been in continuing legal education (CLE) classes since Wednesday....thankfully, they finish up this afternoon. I learned of the Board's vote after the fact (as I've been out of pocket) and was advised to deal with them directly.

Thus, I've got an ethical obligation to "stay neutral" and continue my pursuit of representing the Diamondhead Community as a whole. I know you understand and respect this fact. Personally, I wish you nothing but the best.

Executive Session~  A member can be punished under disciplinary procedure (60) if he violates the secrecy of an executive session.  Anyone else permitted to be present is honor-bound not to divulge anthing that occurred.  The minutes, or record of proceedings, of an executive session must be read and acted upon only in executive session.

Last Night's Board / Town meeting [6-28-12]

Update on the Blood Drive!

Thank you so much for your multiple entries announcing the blood drive.

We had 17 units of blood drawn today which helps 51 patients in hospitals

Robert's Rules of Order Works!

Note:  After coming home early Saturday morning from a vacation, Joe Claflin methodically gathered the information needed to attend Sunday evening's meeting.

Board Member Keith Harrison stated on his way into the meeting that "In my opinion, we were wrong (in that action taken Thursday).  I have appologized to Rick".

Yes! Robert's Rules of Order Works! 3 days notice before any meeting by the Board of Directors gives the membership of Diamondhead time to let their Board know how they feel regarding the issue.
Thank you!  You did it! I am so proud to live in a community where the people came out in support of "due process".

The Board met in the Library behind closed doors for almost an hour.  Joe Claflin was voted in as President of the Board of Directors.

A Special Executive Board Meeting is called for Sunday, June 10th, 6:pm

A Straw vote was taken on Thursday to remove President Rick Noffsinger from the Board of Directors.  Article II Section 6 of our By-Laws states that the Board of Directors will be governed by Robert's Rules of Order.

Q: What kind of personal financial liability does one accept when volunteering to serve as a board member or finance committee member of a nonprofit organization?

If you are a nonprofit board or investment committee member, then you are placing your personal assets and future livelihood in potential jeopardy. By accepting responsibility for the interests of a nonprofit, foundation, endowment, trust, etc., you become a fiduciary and are legally responsible for prudently managing its affairs/assets and thereby protecting the interests of its beneficiaries . Fiduciaries must expect to facilitate a professional standard of care that greatly exceeds the average person's knowledge and experience. Failing to demonstrate a required level of prudence by fully documenting adherence to all applicable fiduciary standards of care exposes you to personal liability.

Community Responsibilities is a New Page that was added today!  This information was found on an online reference source noted by Treasurer John Porter.  Community Associations Institute @ www.caionline.org

The topic of "Capital Reserves Fund" or "Capital Improvements Fund" has caused quite a stir among community members & Board members.  Ex-president / Director Ray Massey was understood to say "this is a phylisophical difference".  DPOA attorney Jonathon Jones states: a Capital Reserves Fund is against DPOA's By-Laws.
