Candidate for the Board ~ Jerry McAnear Sr.

I have held off commenting on what has been going on with the current board of directors and the community long enough. My reasoning for the delay has been that I am a candidate for the board and I didn’t want to alienate too many voters in order to better my potential for election. For this I offer my apology  I should have not hesitated. However, with the removal of Diane, my chances to be on the board have been greatly enhanced, at least for one meeting , so here are some of my thoughts and opinions.
  1. The failure to allow Diane to defend herself by taking away the mike is a direct violation of her right to free speech, Article I of the US Constitution. 
  2. I served on the By-Laws revision committee and I can tell you the only good part of the revision is the inclusion of membership definitions and they do not go far enough (article  I). Conflicting articles were not removed and were revised so that it leaves more open to board interpretation. (articles VII and  article VIII). Article VII, has been interpreted as authority to remove a sitting board member, however it applies only to removal from office of an officer of the board not the removal of a board member.  The conflict of interest article  was left intact and does not specifically address our current board members who have a definite conflict of interest.  A conflict of interest exists when a board member receives personal or monetary benefit from business activities within the community.  Other revisions have watered down existing articles to the point of being ineffective and open to personal interpretation. They should state firm regulations that can be understood and not interpreted by a rogue board.  Therefore, I can not and do not support passage of the new suggested by laws and encourage every one to read the document posted on the blog and make up your own mind and hopefully vote against passage.
  3. We need to address a number of difficult decisions including but not limited to:  
  • Property owner dues,     
  • Usage of amenities, 
  • Review of General Manager effectiveness,
  • Review of attorney effectiveness, 
  • Review of spending  and contracting policy, 
  • Security for the community, property owners and visitors, 
  • FEMA emergency action recommendations.  
I am prepared to address each of these issues as soon as possible, some sooner than others, but all will be addressed publicly.  
I ask that everyone read my resume and candidates night statement, compare it with the others and cast your vote for the most qualified person who will perform the responsibilities of a member of the board for the betterment of the community, not for personal interest.

Response to Bob Jones comment on "Your Thoughts Matter!"

To quote Albert Einstein, Insanity: doing the same thing over and over again and expecting different results. This happens all the time, so you should not be ashamed that you have followed this rut for 12+ years and could not identify the path to success. You just keep electing new board members who want to make minor changes but stay the same course. The same course that has proven over and over again, it will not reverse the trend of Diamondhead on a path to financial distress.

A lot of businesses realize their employees get stuck in a rut doing the same thing over and over for years with no vision on how to improve the process. They request outside assistance to review their operating procedures because a different set of eyes provides a new perspective and more often than not an opportunity to improve. Diamondhead gets that review for free whenever they get a new resident. A free opportunity to ask a new set of eyes what we can do to improve our community. The problem is and what you should be ashamed of, when a new resident does see a problem and an opportunity to improve you label them a newbie and a complainer rather than discuss and review this opportunity to improve the community.

The process of openly communicating with property owners and allowing them to have a say and ownership in the direction Diamondhead goes in the future has been identified as a weakness in this community. This small group you talk about with leaders who have been here less than a year shows you still don’t get it. There are no leaders and it isn’t a small group, it is a large group of the community trying to get the point across to the board that we need to change the process. The small group is the board, and their blind followers. The arrogant group, who thinks they know better than the other 600 or so property owners on how to improve Diamondhead. They refuse to listen and have open discussion with the property owners on how to improve Diamondhead. These board positions are not elected to dictate the course to the membership they are elected to represent the membership. The petition is and was not something desired by anyone. When the board refuses to embrace the communities input and desire to communicate openly they leave no choice but to ask for their removal. This is not about power; it is about what is best for our property values, our community as a whole, and the future of Diamondhead.

Oh I forgot bob, it reminds me of a story also. There was this High School band and nobody wanted to lead the band until this Math teacher said I guess I will do it if nobody else will. For years the band had great musicians but appeared to be unorganized and lacked direction. The principal had a professional band designer review their band. The band designer said the only thing you really need to do is turn right at the 50 yard line and face your audience rather than left. This one change will fix all your problems. The math teacher told her students that she has been doing this for 12 years and the professional band designer just got here and doesn’t know our band so we will turn left but put a skip into your step. How proud I was when my little Diane got to the 50 yard line, listened to the professional and turned right into progress while the remainder of the band turned left down the same old path skipping away from success and their audience. Sometimes it is the rest of the band that is out of step and it is because their leader pointed them in that direction and they didn’t have the guts to turn right!

Holiday Gate Admittance

Bob (Gieringer),
Thank you for bringing up a very valid point.  After feedback from several Board members, I have had a conversation with Buddy.  He is informing all gate personnel that from July 3-6 the gate will be open until 9pm. Sunday, 7-7-13, the gate will close at the regular time of 7pm. Stickers will be checked as well as visitor passes issued by gate personnel.
Please ask all your visitors to, respectfully, stop for a pass.

Petition to Recall Board


PETITION TO RECALL AND REPLACE CURRENT DIAMONDHEAD POA BOARD MEMBERS AND GENERAL MANAGER WITH AN IMMEDIATE SPECIAL ELECTION FOR NEW MEMBERS

The purpose of this petition is to gather a sufficient number of signatures from qualified Diamondhead Property Owners to recall / remove all current board members (9) nine.  (DPOA By-Laws: Article 8, a & b)

Immediately upon receiving the required number of signatures, the current board will be replaced with an interim board of 3 until such time as a special election can be held to vote in new members.  (Interim board is not to exceed a maximum of 90 days)

Reasons for removal of current board members are as follows: (list is not inclusive of violations)
  • Dereliction of duty
  • Incompetency
  • Ethical Violations
    • Abuse of power.  Complete disregard for By-Laws, policy, and a lack of common sense in dealing with community relations and promoting the community.
    • Failure to provide adequate and complete financial statements (Article VI, Section 2a)
    • Unauthorized use of POA funds without a vote of the board
    • Unauthorized “closed” sessions, lack of transparency and failing to post the proper requirements of those meetings to the property owners.
    • Numerous bad business decisions that are costly to the property owners

The best interest of the community is protected by the removal of the current board.  It is further agreed by this petition that the Executive board consisting of President Suzzi Combs, VP Rick Noffsinger, Treasurer Tom Moore, Secretary Faye Taylor be banned from running or holding a board position for a period of 7 years. And, upon removal of the board, the current GM Wallace "Buddy" Hudson is to be removed immediately from his position as general manager.

President Suzzi Combs opened the meeting by reviewing events of the previous night’s Special Board meeting:
·        A straw vote was taken regarding “swamp” land to be deeded over to Entergy…unanimously approved.

·        Kim DeFlippis deserves an apology regarding GM Buddy Hudson following her in an unmarked vehicle to verify possession of sticker.  Suzzi Combs:  “Kim, Our deepest apologies to you and your mother for your distress.”  In the future, only police vehicles with uniformed personnel will enforce adherence to the vehicle sticker regulation.  See "Your Thoughts Matter!" for more information.

President Suzzi Combs welcomed the DH members to the Special Board meeting explaining that there are 3 items on the agenda.  The first item was a ‘straw vote’ involving a piece of ‘swamp’ property located down on Coolwood, near the home of Diane Alexander.  This property is technically owned by Entergy and her dead must now reflect that information before she may sell it.  The vote was passed unanimously.

Item 2 on our list is a disciplinary action. The reason that most of you are here tonight. Article VI, Section 1. Item f.  ‘It is possible to remove a member of the Board whenever, in its judgment, the best interests of the POA would be served thereby.’
Suzzi began to read a statement from Attorney Jonathon Jones:
"Attention POA Board members, this is privileged and confidential information.  I attended a Board meeting on June 3rd, 2013 at the request of the president and various members.  The purpose behind same was to provide updates on all active litigation concerning the DPOA.  The majority of the discussion was properly focused on the most complex case facing the community as a whole.  The Ensminger vs. Chambliss state lawsuit and contained a tremendous amount of information that is protected by the attorney / client privilege.  I returned to work Tuesday morning only to receive a perplexing phone call regarding the Ensminger matter.  The phone call was from the present counsel for Chambliss, Miss Jerry Paine.  Miss Paine and I had a cordial, but awkward phone conversation in which she, with astounding detail, repeated virtually every statement made within the protected environment of the closed board meeting. Please note - This information is regarding a pending lawsuit that carries massive liability and economic ramifications if the DPOA is unsuccessful in its defense.  I recounted the contents of this phone conversation to the Board at the June 11th, 2013 Board meeting.  Specifically, my utmost concern was given to the nature of t his breach of confidentiality and fiduciary responsibility and the almost undeniable liability of the DPOA if same is allowed to continue.  Since that time, said breach has been acknowledged and admitted by Diane Porterfield.  Thus I believe these actions to be the opitomy of how Board members should not conduct themselves.  Furthermore, the guilty of these transgressions, after a previous breach, regarding the exact same case, by the exact same member, is incomprehensible.  And therefore, I propose Miss Porterfield be removed from her position on the board with utmost confidence and haste."

Suzzi:  This is a very serious matter.  It is not something taken lightly by this Board.  And as you can see, you are as shocked as well.
Diane:  Do I get to speak?
Suzzi:  We will adjourn to executive session and you may speak at that time.
Diane:  You get to say this, but I don’t get to speak out in public?
With that Suzzi handed Diane the microphone.  “Thank you very much (for allowing me to speak) because that was the first time I have heard that (statement from the attorney) at all.  I would have assumed that I would have that information sent to me.

Jerrie Paine said her clients called her with information that could only have been gleaned from our executive session held on 6/3/13.  Did you disclose any information to anyone that may have been in contact with the Chambliss' or were your in contact with the Chambliss' directly?
This question was posed by our attorney who directly questioned each member in attendance at tonight's executive session.

No.  I did not contact Jerry Chambliss.  I did discuss this issue with my husband, Sam.  Sam explained how ‘inept’ our attorney has been for many years. Sam sighted several instances of past attorney neglect.  I have also heard this same comment from other members of past boards.
In fact, why did the Chambliss attorney contact Jonathon Jones?  What was the purpose of the phone call? 
Yes.  You all know that I have received information from Jerry Chambliss regarding his case against Diamondhead.  Yes, I know things about this case which you have refused to listen.  Since this issue began in July of 2010, this issue has been mishandled (in my opinion). 
  • Why is Jonathon Jones handling this case? It should be managed by our insurance company – Western World.  Which has a deductable of $500.00 --- not $15,000.00
  • Was Jonathan Jones correct in his statement that ‘this case is practically over because of Jerry Paine’s neglect in filing documents in a timely fashion’?
  • I was asked at Monday, June 3rd, executive session à ‘Whose side are you on?’ ….Answer:  The truth.

If you think I have a conflict of interest regarding this issue, than ban me from further discussion of this topic. 

I met a lady on the plane who is an attorney with a firm who specialize in Community Associations.  Her name is Anne Williams and recommends this website:  Www.caionline.org

While Diane was speaking the Board left for Executive Session.  Upon return, it was announced that Diane Porterfield was removed from the Board.  The Board then excused themselves back to executive session to discuss 'personnel issues'.

I met an attorney whose firm specializes in Community Management.  I would highly recommend Diamondhead research CAI for information regarding the management of our community.  This will benefit us regarding accurate & appropriate financial reporting, solving legal issues (before they arise), and maintaining good communication.

Note: The name and address of this attorney has been provided to the DPOA Board.  This attorney has stated that any answers to questions [where research is not necessary] will be provided free of charge.
