DRC Lots – Developer: Discussion involved “Limited Developer Status
Agreement” / June 9, 2006 and “Developer Agreement” / December 20, 2008.

Developer Agreement, section 6. Affiliated Development
Transactions: Should DRC, DH (Diamondhead Holdings,
LLC) or their affiliates, develop any property which is accessed by
utilization of a DPOA road, then DRC, DH or their affiliates shall cause
covenants and restrictions to be filed of record against such property that will
require the property owners within that development to pay DPOA dues
thereunder, commencing on the sale by DRC, DH or their affiliates to a third-party
purchaser. Any property, which is owned
by DRC, DH or their affiliates, outside the Diamondhead property, or can be
accessed utilizing roadways not the property of the DPOA, shall not be subject
to this paragraph. DRC, DH or their
affiliates shall be entitled to utilize the roadways owned by DPOA to access
its property, residential or commercial.

Developer Agreement, section 3. DPOA Lot
Conveyance: The DPOA has installed a
program where lots can be conveyed to them in lieu of payment of the DPOA dues. The DPOA will transfer the ownership of the
property to the Developer by means of a Quit Claim Deed. Upon confirmation that title is acceptable,
the Developer will place the lot in its inventory for sale. The Developer will pay to the DPOA the sum of
$300,00 per lot at the time of transfer of the lot to the Developer. Upon acceptance of the lot the Developer will
be responsible for real estate taxes.
The parties further agree that DRC and DH, The Developer, will attempt
to sell individual lots to individual people who will then become owner of
those lots who will then remit payment of property ownership association dues
and Riviera Fees. The parties also
agree, however, that if the Developer should locate an entity that wishes to
purchase a block of lots held by Developer for the purpose of developing those lots
and selling them to unrelated third parties, the Developer may convey a block
of lots to such entity without additional approval from DPOA. Any entity(s) purchasing a block of lots from
DRC and/or DH (Diamondhead Holdings, LLC) shall
then be a “Developer” for purposes of this agreement. Provided however, that entity that receives
Developer Status must agree that a minimum 10% of the original number of lots
purchased or one lot, whichever is greater, shall become dues paying lots each
year thereafter, by either, sales of lots to third parties, construction of
homes, or dues paid by that third-party Developer. Should DRC and/or DH receive title to lots
back from a third-party Developer, for any reason, this provision shall not
apply.

Diane Porterfield presented
Rule/Regulation #1999-10-04 for update:
the previous document dated June 24, 1999 reads “The maximum size of
sheds or detached storage buildings in Diamondhead shall be 240 square feet.” The update changes the square footage to read
“280 square feet”. This motion was made
