Diamondhead Community Church Pastor Mark Williams opened the
meeting with Bible scripture reading from 1st John and Corinthians
regarding the love of God and stressing the importance of Peace &
Harmony.
The minutes from the 2012 Annual meeting were approved.
Auditor John Pratt gave the ‘draft’ review of the financial
statements giving Diamondhead an “Unqualified” approval. This completed report will be available in
the POA office next week. This approval
is the highest rating available.

Suzzi is requesting community members to sign up with your
unique skills, talents, and experience in particular areas that can be used for
the benefit of Diamondhead. If you have
expertise that you would like the DPOA to know about, please contact the POA

Diamondhead Citizen of the Year goes to Sharon Perisho for her countless hours of service to
our community. Sharon well deserves this award of
distinction. Thank you, Sharon .

The Board excused themselves to Executive Session to choose
officers.
Golf Course Supervisor, Eddie Gilbreath, provided the
membership with an update regarding the golf course condition and the common
grounds. Eddie is very proud of his
dedicated grew. The rain has brought
complications to the golf greens causing concern. Eddie proved his knowledge and skill by
explaining his concerns and actions regarding the care of the golf course. We are truly fortunate to have this Christian
man serving our community!

- Joel asked for a show of hands: Who would like the gates to be closed? Opened?
- Joel was surprised to see that the majority wanted the gate to remain open during day time hours.
- Yes, we still have problems going through the gate
- Yes, we have problems with gate repair. Thank you to Donnie Gage for his volunteer service in the maintenance of the gates. Gates are old and in disrepair. We are doing all we can do to fix those gates.
- Joel is not in favor of a “Neighborhood Watch”. ‘I’d rather see someone who is certified to go to a call.’
The Board returned from Executive Session. Rick Noffsinger
announced the new officers:

President Suzzi Combs asked for the results of the Proposed
By-Law vote. While the By-Laws were being counted by Bob Jones & Eddie
Gilbreath, Diane Porterfield read the Arkansas State
President Suzzi’s response:
We have an attorney that advises us on how to respond to things. Our tax money goes to the state of Arkansas , but we do not
get any return for it. So, basically we
are employers of our own police force.
We are employers of everyone who works here. Although I can respect the state of Arkansas , I believe we
must speak to our legal counsel before I respond to that.
Past Board President Ray Massey: The way this issue has been dealt with in the
past is by following our Bylaws only.
It is written in our Bylaws: Article II, Section 3 Notice of Membership Meeting. Written
notice of each meeting of the members shall be given by, or at the direction of
the Secretary or person authorized to call the meeting, by mailing a copy of
such notice, postage prepaid, at least thirty (30) days before such meeting to
each member entitled to vote thereat, addressed to the member’s address last
appearing on the books of the Association, or supplied by such member to the
association for the purpose of notice.
Such notice shall specify the place, day and hour of the meeting, and in
the case of a special membership meeting, the purpose of the meeting.
Board member John Porter pointed out Article XIII AMENDMENTS:
Members, by the affirmative vote of a majority of a quorum of members present
or by proxy may at a regular or special meeting amend, revise or supersede any
of these By-Laws, provided the substance of the proposed amendment shall have
been stated in the notice of the meeting.
Many of the members in attendance had received no
notification, nor insight into the contents of the Proposed By-Law changes.
While the ballots were being counted by Bob & Eddie,
Suzzi spoke of the various committees suggesting a Round Table Communication
Committee to improve communication in Diamondhead.
Director Diane Jones conveyed
the need for Pet Information / Registration forms to be filled out in the POA
office.
The Proposed ByLaw changes were defeated 60(?) to 40(?).
Property Owner Mary Gage expressed her concern for the
acceptance of the 163 proxy votes that were hand delivered to the Secretary of
the Board.
Bob Jones sited Article
II Section 5: Proxies: Proxies may be used in order to constitute a
quorum. Any member in good standing may
vote in person or by proxy, except no vote for the election of any director
shall be cast by proxy or in person. All
proxies shall be revocable, in writing and filed with the Secretary.
